Representative matters

  • For outside counsel, led an investigation into alleged payments made by a US oilfield services company to foreign government officials via customs agents in five Latin American countries. Alberto coordinated and supervised the efforts of teams in each country and provided regular updates to the client and regulators. The investigation involved interviewing senior managers and customs representatives, analyzing customs and freight forwarding transactions, and assessing internal controls related to third-party freight forwarders. At the request of counsel, he and his team prepared detailed reports for the Securities and Exchange Commission outlining accounting procedures used by the company to record the alleged illicit payments.
  • For outside counsel, evaluated the internal control environment, with a focus on Internal Controls over Financial Reporting, or IFCR, of a US oilfield services company.  Following a Securities and Exchange Commission subpoena regarding the company’s financial reporting practices, Alberto and his team were asked to assess the company’s global financial control framework by viewing the implementation of the COSO framework for designing, implementing, and evaluating internal controls, assessing the integrity of statements and financial information provided by management, and examining the company’s accounting practices. As a result of the team’s work, the Securities and Exchange Commission closed its inquiry.
  • Assisted counsel for one of the world’s largest telecommunications companies in conducting post-acquisition anti-bribery due diligence of a broadcast satellite service provider with operations in the US and Latin America. Alberto and his team undertook due diligence work to evaluate the internal controls environment at 11 Latin America entities. This involved assessing policies, interviewing finance personnel, and analyzing the entities’ books and records, with a focus on compliance-sensitive expenses and third-party relationships.
  • Assessed the internal controls environment of a multinational retailer under investigation for non-compliance with the Foreign Corrupt Practices Act.  Alberto aimed not only to identify gaps in the control procedures but also to gauge their effectiveness in preventing and detecting potentially fraudulent activities. He and his team examined compliance areas such as third-party interactions, collection and disbursement procedures, cash usage, inventory management, donations, political contributions, and gifts. In their resolution agreements, the Department of Justice and the Securities and Exchange Commission acknowledged the company’s remediation program.
