Investigating a dissident shareholder suspected of collusion with short sellers
With suspicions that a dissident shareholder was secretly working in concert with several major shareholding funds, a client retained Nardello & Co. to investigate a proxy slate submitted by that shareholder. To identify current or historical links between the relevant parties, our researchers: examined SEC filings; reviewed media, including earnings call transcripts; compared dates of stock purchases to identify trading patterns; established the educational and professional backgrounds of the relevant principals; entered financial chat rooms and other Internet sites; and reviewed social media and litigation records. Our findings were used by the client to inform its successful legal strategy in the proxy battle.
